Terms and Conditions of Use and Service

End User License Agreement

(This document is included in the installation portion of the RogueAngel2k.com Secure Backup Service software. It is posted here for your reference.)

RogueAngel2k.com License and Service Agreement

This agreement (the "Agreement") is a legal agreement between you, either an individual or a single legal entity ("You" or "you"), and RogueAngel2k.com Secure Data Solutions ("RogueAngel2k.com"). This Agreement governs your use of the RogueAngel2k.com Secure Backup Client (Personal Backup 5 Software) software distributed with this Agreement, including any updates that may be provided to you and any accompanying written documentation (the "Software") and the Secure Online Backup Service, the RogueAngel2k.com website and any other Service ("Service") RogueAngel2k.com may choose to offer. For reasons of international law and security practices, this "Service" is for residents of the United States, its outlying territories, and Armed Forces only.

Free Service

You acknowledge and agree that RogueAngel2k.com may occasionally send you administrative communications regarding your account or the Service via email or system messages.

Please see the RogueAngel2k.com Privacy Policy, which is incorporated into this Agreement by reference.

Accounts, Passwords, and Security

You must be a registered user with an active subscription to access the Service. You are responsible for keeping your password secure. You will be solely responsible and liable for any activity that occurs under your user name. If you lose your password or the encryption key for your account, you may not be able to access your data.

Payment and Refund Policy

1. RogueAngel2k.com's only accepted methods of payment are with a credit card or through PayPal or both.
2. Accounts will not be activated or reactivated without prior payment.
3. All fees and renewal fees are due on or before the due date of the renewing account.
4. Incomplete, incorrect or questionable sign up information can result in an account NOT being activated.
5. Any losses or expenses experienced by the Customer, due to actions taken by RogueAngel2k.com in response to Customer non-payment, are not the responsibility of RogueAngel2k.com.
6. By purchasing RogueAngel2k.com Services, you are agreeing to allow RogueAngel2k.com to place your account on a recurring payment plan. The account will automatically be re-billed according to the terms of the plan you select.
7. You grant RogueAngel2k.com permission to charge your credit card for any and all services you request and any renewals thereof.
8. If RogueAngel2k.com is unable to process a payment for your plan by its due date, RogueAngel2k.com may immediately, and without notice, suspend your account by disabling service features in whole or in part. Any such suspension will continue until payment is successfully processed. Furthermore, in the event your account has been placed in suspended status for non-payment, RogueAngel2k.com may permanently disable service features and terminate your account on written notice of thirty (30) days. For clarification, RogueAngel2k.com may issue such notice by sending an e-mail message to the registered e-mail address associated with your account.
9. Other than for your failure to comply with the applicable End User License Agreement, RogueAngel2k.com will use commercially reasonable efforts to make your Data available for you to download for a period of three (3) days after account termination. RogueAngel2k.com has no obligation to provide you with a copy of your Data and may remove and discard any backup data. Your data may be mailed to you via DVD as well, for a nominal fee.
10. If an account has been suspended for non-payment, it will only be reactivated upon payment of all overdue fees.
11. It is a violation of this Agreement for you to misuse or fraudulently use credit and debit cards. A determination of such misuse or fraudulent use shall be at the sole discretion of RogueAngel2k.com. Further, RogueAngel2k.com may report all such misuses and fraudulent uses (as determined by RogueAngel2k.com in its sole discretion) to appropriate government authorities, credit reporting services, financial institutions and credit card companies.
12. Because RogueAngel2k.com offers significant backup space for free, which can be sampled before purchasing a paid plan, fees paid for monthly plans are non-refundable.
13. Refunds on multi-period plans (i.e. annual and biennial plans) may be granted on a prorated basis for the unused portion of the period purchased, in whole month increments, and not including the current month.
14. If you do not wish to continue services with RogueAngel2k.com, or do not wish to renew your account, it is your responsibility to cancel your account prior to your renewal date to avoid further charges
15. You are free to cancel your account at any time. Similarly, RogueAngel2k.com reserves the right to cancel any account at any time, for any reason, including, but not limited to, a breach of this Agreement or the EULA.
16. Users who purchased the boxed version of RogueAngel2k.com from a retail store and wish to cancel their account for a refund should return the disk and all packaging to the location where they purchased it. Keep in mind that most retail stores do not allow the return of opened software.

Acceptable Use and Conduct

You are solely responsible for your conduct and your data related to the Service. You agree to indemnify, defend, and hold harmless RogueAngel2k.com, its owner Cameron Snyder and its suppliers from any and all loss, cost, liability, and expense arising from or related to your data, your use of the Service, or your violation of these terms.

The Software and Service are made available to you only for your personal use, which use must be in compliance with all applicable laws, rules and regulations and must not infringe or violate third party rights. You may not make commercial use of the Software or service, including but not limited to selling or distributing the Software and/or Service to any third party.

Any unauthorized use of any RogueAngel2k.com computer system is a violation of this Agreement and certain federal and state laws. Such violations may subject the unauthorized user and his or her agents to civil and criminal penalties.

Excessive Use Policy

In order to protect the experience of all users of the Service, RogueAngel2k.com prohibits excessive use of the Service, which means usage over a given period far exceeds the average level of usage by users of the Service generally. If RogueAngel2k.com determines that you have engaged in any excessive use, RogueAngel2k.com may offer you an alternative pricing plan or another RogueAngel2k.com product that will permit you to continue to use RogueAngel2k.com’s services without interruption. If you fail to respond to any such offer, RogueAngel2k.com may take remedial action, which may include, but is not limited to, establishing limits on available storage and network capacity and suspension or termination of your account. In its sole discretion, RogueAngel2k.com may or may not notify you in advance of any such action.

Consent to Collect Non-personal Information; Use of Data

The Software and Service may collect certain non-personally identifiable information that resides on your computer, including, without limitation, statistics relating to how often backups are started and completed, performance metrics relating to the Software, and configuration settings. This information collected will be sent to RogueAngel2k.com and may be used by RogueAngel2k.com without restriction.

When you back up data via the Service, you agree that we and our service providers may copy and store such data as part of the Service.

Changes to the Service and Terms and Conditions

RogueAngel2k.com reserves the right at any time to modify, suspend, or discontinue providing the Service or any part thereof in its sole discretion with or without notice.

RogueAngel2k.com will use commercially reasonable efforts to notify you of modification, suspension, or discontinuance of the Service either by sending an email to the email address you provide with your registration or by a posting on RogueAngel2k.com website. However, in no event will RogueAngel2k.com be liable to you or to any third party for any modification, suspension or discontinuance of the Service with or without notice.

RogueAngel2k.com reserves the right at any time to modify this Agreement in its sole discretion, without liability to you. This Agreement, as amended, will be effective upon acceptance of registration for new users and effective for all existing users 15 days after the posting of any amended terms on the RogueAngel2k.com website. You agree to be bound by this Agreement, as modified. If you do not agree to any changes to this Agreement, you must terminate your account immediately.

Use of Software

Subject to the terms and conditions of this Agreement, RogueAngel2k.com grants you a non-exclusive, non-transferable, non-sublicensable license to install and execute as many copies as needed of the Software (in executable code form only) on as many computers as needed, but only for the purpose of accessing and using the Service. Certain third party code may be provided with the Software. The third-party license terms accompanying such code, and not the terms of this Section, will govern your use of such code. This does not mean you are allowed to install the software for the purpose of sharing files between computers, the Service is designed and implemented as a “Secure Online Back Up Service” only, such use will violate these terms. Any misuse will result in account cancelation without notice, and no refund of your money whether the subscription has ended or not.

The Software and its structure, organization, source code, and documentation contain valuable trade secrets of RogueAngel2k.com and its licensors, and accordingly you agree not to (and agree not to allow third parties to) (1) sublicense, lease, rent, loan, transfer, or distribute the Software and/or Service or any derivative thereof to any third party, (2) modify, adapt, translate, or prepare derivative works from the Software or Service, (3) decompile, reverse engineer, disassemble or otherwise attempt to derive source code from the Software or Service, (4) extract portions of the Software's files for use in other applications, or (5) remove, obscure, or alter RogueAngel2k.com's or any third party's trademarks or copyright or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Software or Service.

Intellectual Property

You acknowledge that RogueAngel2k.com or third parties own all right, title and interest in and to the Software and Service, portions thereof, or software or content provided through or in conjunction with the Software or Service, including without limitation all intellectual property rights. Except for the license granted in this Section, all rights in and to the Software and Service are reserved, and no implied licenses are granted by RogueAngel2k.com.

If you have comments on the Software or Service or ideas on how to improve them, please visit our Contact Us page. Please note that by doing so, you also grant RogueAngel2k.com a perpetual, royalty-free, irrevocable, transferable license, with right of sublicense, to use and incorporate your ideas or comments into the Software or Service (or third party software, content, or services), and to otherwise exploit your ideas and comments, in each case without further compensation.

Term and Termination

This Agreement is effective upon signing up for the RogueAngel2k.com services and remains in effect until the users' account is terminated.

You may terminate this Agreement at any time by destroying the Software and closing your account by following the instructions on the RogueAngel2k.com website.

This Agreement automatically terminates if you fail to comply with its terms and conditions. RogueAngel2k.com reserves the right to refuse or discontinue participation to any user at any time at its sole discretion.

You agree that, upon such termination, you will destroy and permanently erase all copies of the Software and that your access rights to the Service will immediately terminate.

The terms of the Sections entitled Consent to Collect Non-Personal Information, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Miscellaneous will survive expiration or termination.

If this Agreement terminates, other than for your failure to comply, RogueAngel2k.com will use commercially reasonable efforts to make your Data available for you to download for a period of three (3) days. RogueAngel2k.com has no obligation to provide you with a copy of your Data and may remove and discard any Data.

Disclaimer of Warranties

THE SOFTWARE AND SERVICE AND ANY THIRD PARTY SOFTWARE AND SERVICES ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. ROGUEANGEL2K.COM AND SUCH THIRD PARTIES EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS AND ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SOFTWARE OR SERVICE AND SUCH THIRD PARTY SOFTWARE OR SERVICES.

YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD AND/OR USE THE SOFTWARE AND SERVICE, AND ALL THIRD PARTY SOFTWARE OR SERVICES MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE SOFTWARE OR SERVICE, AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF THE SOFTWARE OR SERVICE AND SUCH THIRD PARTY SOFTWARE AND SERVICES.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL ROGUEANGEL2K.COM, OR ITS SUPPLIERS, RESELLERS, PARTNERS OR THEIR RESPECTIVE AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SOFTWARE OR SERVICE, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF ROGUEANGEL2K.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).

WITHOUT LIMITING THE FOREGOING, THE TOTAL AGGREGATE LIABILITY OF ROGUEANGEL2K.COM, AND ITS SUPPLIERS, RESELLERS, PARTNERS AND THEIR RESPECTIVE AFFILIATES ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO ROGUEANGEL2K.COM FOR THE SOFTWARE OR SERVICES. IF THE SOFTWARE AND SERVICES ARE PROVIDED WITHOUT CHARGE, THEN ROGUEANGEL2K.COM AND ITS SUPPLIERS SHALL HAVE NO LIABILITY TO YOU WHATSOEVER.

THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON THE SOFTWARE OR SERVICE, FROM INABILITY TO USE THE SOFTWARE OR SERVICE, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SOFTWARE OR SERVICE (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION SHALL APPLY NOTWITHSTANDING A FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR DIRECT DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

THE SOFTWARE AND SERVICE ARE NOT INTENDED FOR USE IN CONNECTION WITH ANY NUCLEAR, AVIATION, MASS TRANSIT, OR MEDICAL APPLICATION OR ANY OTHER INHERENTLY DANGEROUS APPLICATION THAT COULD RESULT IN DEATH, PERSONAL INJURY, CATASTROPHIC DAMAGE, OR MASS DESTRUCTION, AND LICENSEE AGREES THAT LICENSOR WILL HAVE NO LIABILITY OF ANY NATURE AS A RESULT OF ANY SUCH USE OF THE SOFTWARE.

Miscellaneous Provisions

You acknowledge and agree that the Software which is the subject of this Agreement, may be controlled for export purposes. You agree to comply with all United States export laws and regulations. You assume sole responsibility for any required export approval and/or licenses and all related costs and for the violation of any United States export law or regulation. If you are located in a country subject to embargo by the United States government, you are not entitled to use the Software or Service.

This agreement will be governed by and construed in accordance with the laws of the State of Arkansas, without giving effect to any conflict of laws and provisions that would require the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.

The failure of RogueAngel2k.com to exercise or enforce any right or provision of this Agreement does not constitute a waiver of such right or provision. If for any reason a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable, the remainder of this Agreement will continue in full force and effect.

This Agreement, which incorporates the RogueAngel2k.com Privacy Policy, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of this Agreement will be effective only if in writing and signed by RogueAngel2k.com.

All disputes arising out of this Agreement will be subject to the exclusive jurisdiction of the state and federal courts serving Little Rock, Arkansas, and the parties agree and submit to the personal and exclusive jurisdiction and venue of these courts, except that nothing will prohibit RogueAngel2k.com from instituting an action in any court of competent jurisdiction to obtain injunctive relief or protect or enforce its intellectual property rights.

You may not assign or transfer any of your rights or obligations under this Agreement to a third party without the prior written consent of RogueAngel2k.com. RogueAngel2k.com may freely assign this Agreement. Any attempted assignment or transfer in violation of the foregoing will be void from the beginning.

RogueAngel2k.com Privacy Policy

This Privacy Policy explains the practices and policies of RogueAngel2k.com regarding the collection and protection of Personal Data supplied by users or collected by us from users of our websites and the “Cloud Secure Online Backup Service" (“The Service”).

RogueAngel2k.com defines "Personal Data" as any data from which it is practical to directly determine the identity of an individual. Any capitalized terms not defined in this Privacy Policy have the meanings given in the Service's License and Service Agreement (the "User Agreement"). This Privacy Policy may be updated by RogueAngel2k.com from time to time. RogueAngel2k.com will provide notice of materially significant changes to the Privacy Policy by posting notice on its websites.

By registering to use the Service, you agree (1) to comply with the terms and conditions of this Privacy Policy and (2) RogueAngel2k.com may process (i.e., collect, use, etc.) your Personal Data as described in this Privacy Policy or the User Agreement. Personal Data may be processed by RogueAngel2k.com in the country where it was collected as well as other countries (including the United States) where laws regarding processing of Personal Data may be less stringent.

How RogueAngel2k.com Uses Information

Personal Data

We will not sell or market the email addresses or other collected personal information of registered Users to third parties.
We will not view the files that you backup using the Service.
We may view your file system information (file extensions, sizes etc. but not your file contents) to provide technical support.
You acknowledge and agree that RogueAngel2k.com may occasionally send you administrative communications regarding your account or the Service via email.

Cookies and Passive Data Collection

RogueAngel2k.com uses cookie, IP address, and URL information to improve and further develop the Service, and to provide enhanced or geographically differentiated features and service levels to Users, where available. RogueAngel2k.com uses cookies to save User screen names, session validators, and on Users' browsers and hard drives, and may use them to provide tailored products and services to those Users, as they become available.

IP Addresses also help us diagnose network congestion, problems with our servers and otherwise assist in the administration and delivery of the Service to our Users.

User Information RogueAngel2k.com Collects

Personal Data

Once you register with RogueAngel2k.com and sign in to the Service, you are not anonymous to RogueAngel2k.com.

When registering with RogueAngel2k.com, you provide Personal Data, which may include company name, industry, number of employees, phone number, your title, city, state, country, zip code, a user name, confirmed email address, and a password. When backing data up with the Service, you send us that data and you also are sending file system information, including names of files and directories. RogueAngel2k.com may also record your IP address when you submit information.

RogueAngel2k.com also may collect, at your option, certain preference and demographic information from you.

All information collected by RogueAngel2k.com is used for internal purposes of providing the Service, providing support to users, and to improve services. Aggregating non-identifying information supplied by users allows RogueAngel2k.com to understand its user base and to improve services.

To protect your account information, please keep your password secure. We cannot view your password, we can only reset it for you. We will NEVER ask you for your password at any time.

All Users may opt to remove their Personal Data from our live database by contacting RogueAngel2k.com and canceling their RogueAngel2k.com user account.

RogueAngel2k.com does not intentionally gather Personal Data about visitors who are under the age of 13.

Cookies and Passive Data Collection

RogueAngel2k.com automatically receives and records information on our server logs from your browser, including your IP address, cookie information, and the page you request.

Users should be aware that other websites visited before entering the RogueAngel2k.com websites might place Personal Data within a User's URL during a visit to their website, and RogueAngel2k.com has no control over such websites. Accordingly, some of this information may be logged by RogueAngel2k.com.

Legal Requirements

RogueAngel2k.com does not disclose Personal Data, including the data you back up with the Service, unless disclosure is necessary to comply with an enforceable government request such as a warrant.

Change of Ownership

In the event of a change in ownership, or a direct merger or acquisition with another entity, we reserve the right to transfer all of RogueAngel2k.com User information, including Personal Data, to a separate entity. We will use commercially reasonable efforts to notify you (by posting on our website or an email to the email address you provide when you register) of any change in ownership, merger or acquisition of RogueAngel2k.com's assets by a third party, and you may choose to modify any of your registration information at that time.

Security

RogueAngel2k.com uses industry standard security measures to protect against the loss, misuse and alteration of the information under our control. Although we make good faith efforts to store the information collected by RogueAngel2k.com in a secure operating environment that is not available to the public, RogueAngel2k.com cannot guarantee complete security. Further, while we take reasonable steps to ensure the integrity and security of our network and systems, we cannot guarantee that our security measures will prevent third-party "crackers" from obtaining this information.

Updating or Removing User Information

You may, at any time, choose to correct or update the information you have submitted to RogueAngel2k.com by updating your account on our website.

If you cancel your account, your Personal Data and other information may be retained in our archive or backup records.

Notifications and counter-notifications must be in writing

If our Designated Agent receives proper notification of a copyright infringement claim, we will respond promptly to remove or disable access to the material that is claimed to be infringing, or the subject of infringing activity. We reserve the right to do so in our sole discretion without prior notice. We will provide a copy of the notification to our customer. We will also comply with applicable law in the event that our Designated Agent receives a proper counter-notification. We have adopted, and implemented, a policy that provides for the termination in appropriate circumstances of subscribers account holders or other users of our system or network who are repeat infringers. It is also our policy to accommodate and not interfere with standard technical measures that are used by copyright owners to identify or protect copyrighted works.

Your notification must be proper and complete under applicable law. If the United States Copyright Act is the applicable law, these are the elements of a proper notification:

(1) The electronic or physical signature of the owner of the exclusive right that is allegedly infringed, or the electronic or physical signature of someone authorized to act on the owner’s behalf; (2) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; (3) Identification of the material, claimed to be infringing or to be the subject of infringing activity, for which disabling of access or removal is sought, and information reasonably sufficient to permit us to locate the material; (4) If the infringement claimed is by reason of intermediate and temporary storage, or caching, of material, include also a statement confirming that the infringing material has been removed from the originating site or access to it has been disabled or that a court has ordered that the material be so removed or that access to such material be disabled; (5) If the infringement claimed is by reason of referring or linking users to an online location containing infringing material or infringing activity, by using information location tools, then, instead of the identification under paragraphs (3) or (4), provide identification of the reference or link, to the claimed material or activity, that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate that reference or link; (6) Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted; (7) A statement that you has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and, (8) A statement that the information in the notification is accurate, and under penalty of perjury, that you is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
